1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Woscout ("we," "us," or "our") governing your access to and use of the Woscout website, web application, and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Woscout is a market research and analytics platform designed for sellers on handmade and creative marketplaces. Our Service provides:

  • Market research and trend analysis tools
  • Keyword research and optimization insights
  • Shop analytics and performance tracking
  • Store research and performance metrics
  • Market data aggregation and reporting

Important Disclaimer

Woscout utilizes publicly available data and official API integrations (including the Etsy Open API) to provide market research insights. Woscout is an independent company and is not affiliated with, endorsed by, sponsored by, or certified by Etsy, Inc. or any other marketplace platform. "Etsy" and related trademarks are the property of Etsy, Inc. Our use of the Etsy API is subject to Etsy's API Terms of Use and Etsy's Terms of Use.

3. Account Registration

To access certain services available on Woscout, you must register for an account and, for premium features, enroll in a paid subscription plan ("Subscription"). When registering for an account, you agree to:

  • Provide accurate, current, and complete registration information at all times
  • Maintain and promptly update your account information to keep it accurate
  • Maintain the security and confidentiality of your login credentials and passwords
  • Accept full responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any security breach

Failure to provide accurate information constitutes a breach of these Terms, which may result in immediate termination of your account. Woscout reserves the right to reject your application for an account for any reason, in our sole discretion.

You confirm that any Services we provide to you are for the purposes of carrying on business activity and not for any personal or household purpose. You must be at least 18 years old to create an account and use our Service. Woscout shall not be responsible or liable for any loss or damage incurred as a result of your failure to comply with this section.

4. Subscription Period

You may subscribe to the Services under either a 12-month subscription plan or a monthly subscription plan. The cost of each plan is set forth in the plan details at the time of registration (the "Annual Subscription Fee" and the "Monthly Subscription Fee", respectively).

Your subscription period begins on the date we confirm your subscription and ends on the same date 12 months later (for annual) or on the same date each month (for monthly), unless your renewal date does not fall in a particular month, in which case your subscription period will end on the last day of that month (the "Subscription Period"). Monthly Subscription Periods range from 28 to 31 days, depending on the number of days in the month.

4.1 Free Trials

New subscribers may be eligible to receive a free trial with a time or feature limit before the subscription begins. By accepting a free trial, you acknowledge and agree that:

  • The subscription will automatically start at the end of the trial period and you will be billed accordingly
  • Only one (1) free trial offer is available per member
  • Creating multiple trial accounts (even with different emails) is a violation of these Terms
  • Unless you cancel before the end of the trial period, the subscription fee will be charged to your payment method

Free trials may be extended, withdrawn, cancelled, or changed at the sole discretion of Woscout without notice.

5. Fees and Billing

All fees are quoted in U.S. dollars unless otherwise specified. Your Annual Subscription Fee or Monthly Subscription Fee (including any applicable taxes) will be charged to the payment method provided when you sign up, and will be charged at each subsequent renewal.

You agree to ensure that you provide Woscout with current, accurate, and complete billing information. We may change subscription fees at our sole discretion, provided that we give you at least 30 days' advance notice and an opportunity to cancel before such changes become effective.

5.1 Payment Processing

Woscout uses third-party payment processors such as Stripe or PayPal to process payments. You consent to the collection and use of your information (including personal information) by such payment processors for the purpose of processing your payment in accordance with our Privacy Policy.

5.2 Payment Failures

If you fail to pay any fees or charges due, we have the right to charge that amount directly to the payment method you provided. You are responsible for any costs we may incur in collecting any outstanding balance from you, including legal fees and collection costs. If automatic billing fails for any reason, Woscout reserves the right to suspend or terminate your subscription.

6. Renewals and Cancellations

6.1 Automatic Renewal

At the end of your Subscription Period, your subscription will automatically renew and the applicable subscription fee will be charged to the payment method on file, unless cancelled by either party in accordance with these Terms.

Unless you notify us prior to charging that you wish to cancel or do not want to automatically renew your subscription, you understand that your subscription will automatically continue and you authorize us (without notice to you, unless required by applicable law) to collect the then-applicable subscription fee using any payment method we have on file for you.

6.2 How to Cancel

You may cancel the renewal of your subscription at any time through your online account management page or by contacting our support team at [email​protected].

6.3 Refund Policy

Monthly and annual subscription fees are non-refundable, even if you cancel your subscription or do not use any of the subscription benefits. Cancellation will take effect at the end of the current billing period, and you will retain access to paid features until then.

6.4 Termination by Woscout

To the extent permitted by law, we may immediately terminate or suspend your account, or not renew your subscription, without prior notice or liability, for reasons including, but not limited to, your breach of these Terms. If we terminate your account without cause, we will provide a pro-rated refund for the remaining unused portion of your subscription period. However, we will not provide any refunds if we believe you have violated these Terms, applicable law, engaged in fraud or abuse, or been harmful to our interests or those of other users.

7. Effects of Cancellation

Our platform provides a subscription cancellation function. You may cancel your subscription at any time when you no longer wish to use our services. If you are unable to cancel your subscription through the platform, you may contact us by email at [email​protected], and we will process your cancellation request promptly.

If you experience issues with our cancellation function that prevent you from cancelling, please contact us and we will assist you. If such technical issues result in an unintended charge, you may be eligible for a refund at our discretion.

Upon termination or expiration of your subscription, your right to use premium Services shall cease immediately. You will retain access to any free features available to non-subscribers.

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, intellectual property rights, disclaimers, indemnification, limitation of liability, and governing law provisions.

8. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service to violate any applicable local, state, national, or international law
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Use automated means (bots, scrapers, etc.) to access the Service beyond what is permitted
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Copy, modify, or create derivative works of the Service
  • Resell, sublicense, or redistribute the Service or data obtained from it without authorization
  • Use data obtained from the Service to harass, harm, or target other marketplace sellers
  • Misrepresent your identity or affiliation with any person or entity
  • Transmit any malware, viruses, or other harmful code

9. Intellectual Property Rights

9.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by Woscout and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written permission.

9.2 License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. This license does not include the right to sublicense, modify, or commercially exploit the Service.

9.3 Third-Party Content

The Service may display or provide access to data and content from third-party sources, including marketplace platforms. This third-party content remains the property of its respective owners. We do not claim ownership of any third-party trademarks, logos, or product information displayed through the Service.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11. Disclaimers and Limitations

11.1 "As Is" Basis

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.2 No Guarantee of Accuracy

All analytics, insights, and market data provided by Woscout are for informational purposes only. Woscout aggregates data from various third-party sources and APIs, and does not guarantee the absolute accuracy, completeness, or timeliness of this information. Woscout is not liable for any financial losses, lost profits, or business decisions made based on the use of our service.

11.3 No Business Advice

The Service provides market research data and analytics tools. Nothing in the Service constitutes professional business, financial, legal, or investment advice. You should consult with qualified professionals before making significant business decisions based on data obtained from the Service.

11.4 Third-Party API Availability and Service Interruptions

Woscout relies on external integrations and third-party APIs to provide core functionality. We cannot guarantee uninterrupted access and are not liable for service degradation, downtime, or data delays caused by external network issues, API rate limits, or upstream provider outages. Subscription refunds will not be issued for service interruptions outside of Woscout's direct control.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WOSCOUT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or business opportunities
  • Business interruption or delays
  • Errors or inaccuracies in data or content
  • Personal injury or property damage related to your use of the Service
  • Unauthorized access to or alteration of your data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to defend, indemnify, and hold harmless Woscout and its affiliates from any claims, damages, liabilities, or legal fees arising from your violation of these Terms, or your violation of any third-party platform policies, API terms of service, or applicable laws resulting from your use of the Woscout platform and its integrated services.

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or through your account settings. Termination will not relieve you of any obligations to pay accrued fees or any liability for actions taken prior to termination.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Woscout operates, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with applicable arbitration rules.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through the Service. Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms.

17. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
