1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Woscout Analytics ("Woscout," "we," "us," or "our") governing your access to and use of the Woscout website, web application, and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Woscout is a market research and analytics platform designed for sellers on handmade and creative marketplaces. Our Service provides:

• Competitor analysis and sales tracking
• Store research and performance metrics
• Market data aggregation and reporting

3. Account Registration and Security

To access certain features of our Service, you must create an account. When creating an account, you agree to:

• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Payments

4.1 Free and Paid Plans

We offer both free and paid subscription plans. Free plans have limited features and usage quotas. Paid plans provide access to additional features, higher usage limits, and priority support as described on our pricing page.

4.2 Billing and Charges

For paid subscriptions, you agree to pay all fees associated with your chosen plan. Fees are billed in advance on a monthly or annual basis, depending on your selection. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.

4.3 Automatic Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period.

4.4 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increase for existing subscribers. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Business interruption or delays
• Errors or inaccuracies in data or content
• Personal injury or property damage related to your use of the Service
• Unauthorized access to or alteration of your data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless Woscout and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your violation of any applicable laws or regulations

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us or through your account settings. Termination will not relieve you of any obligations to pay accrued fees or any liability for actions taken prior to termination.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Woscout operates, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with applicable arbitration rules.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through the Service. Your continued use of the Service after any modifications constitutes your acceptance of the updated Terms.

14. Severability and Waiver

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
